1. Agreement to Terms

By accessing or using WeReply's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our Services.

2. Description of Services

WeReply provides professional review response management services for businesses. Our Services include:

• Responding to customer reviews on Google Business Profile on your behalf
• Crafting personalized, professional responses matching your brand voice
• Managing your online reputation through timely review engagement

3. Account Access and Authorization

To use our Services, you must grant WeReply manager access to your Google Business Profile. By doing so, you:

• Confirm you are the rightful owner or authorized representative of the business
• Authorize WeReply to respond to reviews on your behalf
• Maintain full ownership and control of your Google Business Profile
• Can revoke access at any time through your Google Business Profile settings

4. Payment Terms

WeReply operates on an annual subscription basis:

• Payment is due upfront for the full year of service
• Prices are listed in USD and are subject to change with notice
• Launch pricing ("Founding Member" rates) are locked for as long as you maintain continuous subscription
• No refunds are provided for partial years of service

5. Service Delivery

WeReply commits to:

• Responding to all new reviews within 24 hours of posting
• Creating personalized responses (no templates or copy-paste)
• Matching your specified brand voice and tone
• Revising any response upon request until you are satisfied

6. Your Responsibilities

As a client, you agree to:

• Provide accurate information about your business during onboarding
• Maintain valid manager access for WeReply to your Google Business Profile
• Notify us of any changes to your brand voice, policies, or key information
• Not use our services for any unlawful purpose

7. Intellectual Property

All responses created by WeReply become your property once published. WeReply retains no rights to the content created specifically for your business.

8. Limitation of Liability

WeReply shall not be liable for:

• Actions taken by Google or third-party platforms
• Loss of business or reputation due to factors outside our control
• Indirect, incidental, or consequential damages

Our total liability shall not exceed the amount paid for Services in the 12 months preceding any claim.

9. Termination

Either party may terminate this agreement:

• You may cancel by providing written notice; service continues until the end of your paid period
• WeReply may terminate for violation of these Terms with written notice
• Upon termination, WeReply will remove itself as manager from your Google Business Profile

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email. Continued use of Services after changes constitutes acceptance of new Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
